Terms of Service

Effective date: [TODO(navigrate): set upon publishing]

1. Acceptance of terms

By creating an account or using Navigrate, you agree to these Terms of Service. If you don't agree, don't use the service.

2. What Navigrate is

Navigrate is dispatch scheduling software for field-service businesses. It estimates drive times between jobs, flags appointments with an unusually long drive, and suggests closer alternate time slots. Drive-time estimates are based on straight-line distance and an average speed assumption — they are estimates, not guarantees, and should be used as a planning aid rather than a precise routing calculation.

3. Your account

You're responsible for keeping your login credentials secure and for all activity under your account. You must provide accurate information and keep it up to date. You're responsible for the accuracy of the technician and client data you enter.

4. Subscription & payment

New accounts get a 14-day free trial with full features for up to 3 technicians, no card required. After the trial, continued use requires choosing one of Navigrate's paid plans, which differ only by how many technicians you can add — every plan includes the full feature set. Once billing is live, payment will be processed through Stripe; by subscribing you'll authorize recurring charges to your payment method until you cancel. Payment processing will be handled entirely by Stripe — Navigrate will not receive or store your card details.

TODO(navigrate): Stripe checkout and billing are not yet connected — see the code for the plan model already in place. Also confirm final plan pricing, refund/cancellation policy, and billing cycle terms before publishing.

5. Acceptable use

You agree not to:

  • Use Navigrate for any unlawful purpose.
  • Attempt to gain unauthorized access to other accounts or our systems.
  • Interfere with or disrupt the service's operation.
  • Reverse-engineer or resell the service without our written permission.

6. Your data

You (or your business) own the technician and client data you enter into Navigrate. We process it on your behalf to provide the service, as described in our Privacy Policy. You're responsible for having the right to store your customers' contact information and for complying with applicable privacy law in how you collect and use it.

7. Third-party services

Navigrate relies on third-party services to function, including the Google Maps Platform for geocoding and mapping, and Stripe for payment processing. Your use of Navigrate is also subject to those providers' own terms.

8. Disclaimers & limitation of liability

Navigrate is provided "as is" without warranties of any kind. We do not guarantee the accuracy of drive-time estimates, uninterrupted availability, or that the service will be error-free. To the maximum extent permitted by law, Navigrate is not liable for indirect, incidental, or consequential damages arising from use of the service.

TODO(navigrate): have a lawyer confirm this limitation-of-liability language is enforceable in your jurisdiction and appropriate for your risk tolerance.

9. Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk to the service or other users.

10. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.

TODO(navigrate): confirm governing law and venue with counsel once the legal entity is registered.

11. Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the effective date above and, where appropriate, notify account holders directly.
